Agreement Overview
These Terms & Conditions (“Agreement”) govern the provision of staff augmentation services (“Services”) by Numerique LLC, trading as 10 Multiply (“Provider”) to the client (“Client”). By engaging in Services, the Client agrees to adhere to these terms.
Scope of Services
10 Multiply offers staff augmentation solutions, including but not limited to:
Staffing Solutions: Provision of professionals with expertise in areas such as digital marketing, software development, data analysis, and more.
Onboarding and Integration: Assistance with integrating Staff into the Client’s existing teams and workflows.
Performance Monitoring: Regular assessments to ensure Staff meet performance expectations.
Support Services: Ongoing support to address any issues or concerns related to Staff performance.
Client Responsibilities
The Client agrees to:
Provide Clear Requirements: Offer detailed job descriptions and expectations for the Staff.
Facilitate Integration: Ensure Staff have access to necessary resources and information.
Maintain Communication: Regularly communicate with the Provider regarding Staff performance and any issues.
Compliance: Ensure that all activities involving Staff comply with applicable laws and regulations.
Provider Responsibilities
The Provider agrees to:
Supply Qualified Staff: Ensure that Staff possess the necessary skills and qualifications.
Manage Employment: Handle all employment-related matters for Staff, including payroll and benefits.
Provide Support: Offer ongoing support to both the Client and Staff to facilitate successful collaboration.
Fees and Payment Terms
Service Fees: The Client shall pay the Provider fees as outlined in the service agreement.
Invoicing: Invoices will be issued on a [weekly/monthly] basis and are payable within [30] days.
Late Payments: Late payments may incur a [1.5%] monthly interest charge.
Additional Costs: Any additional costs incurred by the Provider on behalf of the Client will be pre-approved and invoiced separately.
Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This includes, but is not limited to, business strategies, client data, and intellectual property.
Intellectual Property
Any intellectual property developed during the provision of Services shall be owned by the Client, unless otherwise agreed upon in writing. The Provider retains the right to use general knowledge and skills acquired during the engagement.
Term and Termination
Term: This Agreement shall commence on the effective date and continue until terminated by either party.
Termination for Convenience: Either party may terminate this Agreement with [30] days’ written notice.
Termination for Cause: Either party may terminate this Agreement immediately if the other party breaches any material term and fails to cure the breach within [15] days of notice.
Post-Termination Obligations: Upon termination, the Client shall pay for all Services rendered up to the termination date.
Limitation of Liability
The Provider’s liability for any claim arising out of this Agreement shall be limited to the total amount paid by the Client for the Services giving rise to the claim. The Provider shall not be liable for any indirect, incidental, or consequential damages.
Governing Law and Dispute Resolution
Governing Law: This Agreement shall be governed by the laws of the United Kingdom.
Dispute Resolution: Any disputes arising out of this Agreement shall be resolved through [mediation/arbitration] in [location].
Miscellaneous
Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.
Amendments: Any amendments to this Agreement must be in writing and signed by both parties.
Severability: If any provision of this Agreement is found to be invalid, the remainder shall continue in full force and effect.
